BARRACUDA BAITS

Partner Network Terms & Conditions

These Terms & Conditions govern participation in the Barracuda Baits Partner Network.

Effective Date: August 31, 2026

1. Program Overview

The Barracuda Baits Partner Network is a paid business partnership and promotional program operated by Barracuda Baits LLC. Participation may include directory placement, promotional exposure, social media support, homepage exposure, category exclusivity, or other benefits associated with the selected Partner level.

Participation does not create an employment relationship, agency relationship, franchise, joint venture, or legal partnership between Barracuda Baits LLC and the participating business.

2. Eligibility & Approval

All applicants are subject to review and approval by Barracuda Baits. Submission of an application does not guarantee acceptance into the Partner Network.

Barracuda Baits may decline, suspend, or remove a business when its products, services, conduct, branding, reputation, or business practices are inconsistent with the goals or interests of Barracuda Baits or the Partner Network.

Businesses that directly compete with Barracuda Baits in soft plastic fishing baits, jigs, or closely related core product categories may be restricted or denied participation.

3. Partner Levels & Fees

Supporting Partner

$29/month or $290/year

Featured Partner

$59/month or $590/year

Premier Partner

$99/month or $990/year

Partner benefits are determined by the level purchased and by the benefit descriptions published on the Barracuda Baits Partner Network page at the time of enrollment.

4. Recurring Billing

Partner memberships are recurring subscriptions. By completing enrollment, the Partner authorizes the applicable monthly or annual membership fee to be charged automatically using the payment method provided through Barracuda Baits' payment processor.

Monthly memberships renew each month. Annual memberships renew each year unless cancelled before the next renewal date.

Taxes or other legally required charges may be added when applicable.

5. Renewals

Membership renews automatically at the end of each billing period unless cancelled before renewal. Annual Partners may receive a courtesy renewal reminder before the scheduled renewal date.

Failure to receive a reminder does not cancel or delay an otherwise scheduled renewal.

6. Cancellation

A Partner may request cancellation at any time. Cancellation stops future renewals but does not normally reverse a payment that has already been processed for the current billing period.

Partner benefits and public directory placement may remain active through the end of the paid billing period or may be removed earlier when requested by the Partner or required by Barracuda Baits.

7. Refunds

Partner Network fees are generally non-refundable once a billing period has begun, except where required by law or when Barracuda Baits determines that a refund is appropriate under the circumstances.

If Barracuda Baits terminates a Partner membership without cause before the end of a prepaid annual term, Barracuda Baits may provide a prorated refund for the unused portion of that term at its discretion.

8. Founding Partner Rate Protection

A business designated as a Founding Partner may retain its original Partner Network membership rate while its membership remains continuously active and in good standing.

A cancellation, lapse in payment, failed renewal that is not resolved, or termination of membership may end Founding Partner rate protection. A later re-enrollment may be subject to the then-current program pricing.

9. Premier Partner Category Exclusivity

Premier Partner memberships may include category exclusivity when specifically approved by Barracuda Baits.

Exclusivity is not automatic solely because a Premier membership is purchased. The applicable category and scope must be accepted by Barracuda Baits and may be limited by geography, product type, business type, existing commitments, or other reasonable program considerations.

10. Partner Directory & Promotional Placement

Approved and active Partners may receive public placement on Barracuda Baits websites or other Barracuda Baits marketing channels according to their membership level.

Barracuda Baits controls the design, location, timing, rotation, size, frequency, and presentation of promotional placements. Specific impressions, clicks, leads, sales, rankings, or other results are not guaranteed.

Premier homepage exposure may appear automatically while the Partner is active and eligible for public placement.

11. Business Information, Logos & Brand Assets

The Partner grants Barracuda Baits a non-exclusive, royalty-free license during the active membership period to use the Partner's business name, logo, approved images, business description, website address, and other submitted brand assets for Partner Network promotion and administration.

The Partner represents that it owns or has permission to use any materials submitted to Barracuda Baits.

Barracuda Baits may resize, crop, format, or make minor presentation adjustments to submitted assets as reasonably necessary for website or promotional use.

12. Partner Responsibilities

Partners are responsible for keeping their business, website, contact, billing, and promotional information accurate and current.

Partners may not represent that Barracuda Baits endorses, guarantees, certifies, owns, or operates their business unless Barracuda Baits has specifically authorized that statement in writing.

Partners are responsible for complying with applicable laws, advertising rules, platform policies, and disclosure requirements related to their own marketing activities.

13. Sponsored & Advertising Disclosure

The Partner Network is a paid advertising and promotional program. Partner listings or links may be identified as sponsored, advertising, paid partnership, or similar language when appropriate.

Outbound Partner website links may use technical attributes identifying the link as sponsored.

14. Payment Failures

If a recurring payment fails, Barracuda Baits may suspend Partner benefits, remove public directory or homepage placement, or terminate the membership if the payment issue is not resolved.

Restored membership benefits may require successful payment of outstanding or renewed membership charges.

15. Suspension or Removal

Barracuda Baits may suspend or terminate participation for nonpayment, misuse of Barracuda Baits branding, misleading claims, unlawful conduct, abusive behavior, reputational concerns, direct competitive conflicts, violation of these Terms, or conduct that materially conflicts with the interests of the Partner Network.

16. No Guaranteed Results

The Partner Network provides advertising, visibility, and promotional opportunities. Barracuda Baits does not guarantee any specific number of website visits, leads, referrals, impressions, social media engagements, customers, revenue, sales, or other business outcomes.

17. Barracuda Baits Intellectual Property

Barracuda Baits names, logos, trademarks, product names, photographs, artwork, website content, and other proprietary materials remain the property of Barracuda Baits LLC or their respective rights holders.

Participation in the Partner Network does not grant a Partner ownership of or unrestricted rights to Barracuda Baits intellectual property.

18. Program Changes

Barracuda Baits may update Partner Network benefits, eligibility standards, promotional formats, or these Terms as the program evolves.

Material changes affecting existing paid memberships will be handled reasonably and, when appropriate, communicated to affected Partners.

19. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

20. Contact

Questions about the Partner Network, billing, cancellation, or these Terms may be submitted through Barracuda Baits' normal website contact channels.

Important: These terms are intended to document the operating rules of the Barracuda Baits Partner Network. Barracuda Baits may choose to have them reviewed by a qualified attorney before or after launch.
