1. Program Overview

The Barracuda Baits Collaboration Partner Network is a free, non-paid collaboration program designed to connect Barracuda Baits with businesses, organizations, brands, fishing professionals, and other participants serving the fishing and outdoor community.

The program may include opportunities such as:

• Partner directory placement
• Website links
• Shared content
• Social media promotion
• Link-exchange opportunities
• Co-branded campaigns
• Giveaways
• Events
• Product-related collaborations
• Other mutually agreed promotional activities

Participation does not create an employment relationship, agency relationship, franchise, joint venture, legal partnership, or other similar relationship between Barracuda Baits LLC and a participating business.

2. No Membership Fees

Participation in the Barracuda Baits Collaboration Partner Network is free. There are no required:

• Membership fees
• Subscription fees
• Monthly charges
• Annual charges
• Recurring payments

Participation in the Collaboration Partner Network does not require a Partner to purchase products or services from Barracuda Baits.

3. Collaboration Levels

Barracuda Baits may organize approved participants into collaboration levels based on the type and extent of the relationship. These may include:

Collaboration Partner

A general collaboration relationship that may include directory placement, business information, website links, mutual promotion, and other collaborative opportunities.

Featured Collaboration Partner

A more active collaboration that may include shared content, featured placement, social promotion, articles, product-related content, or other mutually agreed activities.

Strategic Collaboration Partner

An ongoing or project-based relationship that may include campaigns, giveaways, events, co-branded projects, priority promotional opportunities, or other strategic activities.

Placement within a collaboration level is determined by Barracuda Baits and may change as the relationship develops.

4. Application and Approval

Submitting an application does not guarantee acceptance. Barracuda Baits reviews applicants based on factors that may include:

• Relevance to the fishing or outdoor community
• Business quality and reputation
• Brand compatibility
• Products or services offered
• Audience relevance
• Collaboration opportunities
• Potential category conflicts
• Overall fit with Barracuda Baits

Barracuda Baits may approve, decline, waitlist, suspend, or discontinue an application or collaboration at its discretion, subject to applicable law.

5. Mutual Collaboration

The Collaboration Partner Network is intended to create mutually beneficial relationships. Approved Partners may be expected to participate in reasonable collaborative activities agreed upon between the Partner and Barracuda Baits.

Examples may include:

• Linking to Barracuda Baits
• Sharing collaborative content
• Participating in social media promotion
• Providing content or information for a Partner listing
• Participating in campaigns or giveaways
• Promoting mutually agreed projects
• Providing other agreed promotional support

Specific activities depend on the collaboration and are not required unless mutually agreed.

6. Partner Directory and Website Placement

Approved Partners may be displayed in the Barracuda Baits Collaboration Partner Network directory or other areas of the Barracuda Baits website.

Barracuda Baits controls the:

• Design
• Layout
• Placement
• Rotation
• Presentation
• Size
• Duration
• Location of Partner listings and promotional placements.

Barracuda Baits does not guarantee any specific placement position, number of impressions, website visits, clicks, inquiries, customers, leads, or sales.

7. Business Information and Brand Assets

Partners may provide Barracuda Baits with information and materials such as:

• Business name
• Logo
• Website address
• Business description
• Photographs
• Social media links
• Product information
• Promotional materials
• Other approved brand assets

By providing these materials, the Partner represents that it owns them or has permission to provide and authorize their use.

The Partner grants Barracuda Baits a non-exclusive, royalty-free permission to use submitted materials for purposes reasonably related to the Collaboration Partner Network and agreed collaborative promotion.

Barracuda Baits may resize, crop, format, or make reasonable presentation adjustments to submitted materials. Ownership of Partner trademarks, logos, photographs, and other intellectual property remains with the Partner or applicable rights holder.

8. Barracuda Baits Brand Assets

The Barracuda Baits name, logos, product names, photographs, artwork, website content, trademarks, and other proprietary materials remain the property of Barracuda Baits LLC or their respective rights holders.

Participation in the Collaboration Partner Network does not grant unrestricted rights to use Barracuda Baits intellectual property.

Partners should obtain approval before using Barracuda Baits branding in a way that could reasonably suggest endorsement, sponsorship, certification, ownership, or an official relationship beyond the approved collaboration.

9. Accuracy of Information

Partners are responsible for keeping submitted business information reasonably accurate and current. Partners should notify Barracuda Baits when important information changes, including:

• Business name
• Website address
• Contact information
• Business status
• Social media information
• Products or services
• Collaboration information

10. Advertising and Disclosure

The Collaboration Partner Network is a non-paid collaboration program. However, individual collaborations may involve products, giveaways, promotional items, commissions, sponsorships, discounts, or other benefits when separately agreed.

Each participant is responsible for complying with applicable advertising, endorsement, disclosure, and platform requirements relating to its own content. Where appropriate, participants should clearly disclose material relationships associated with promotional content.

11. Category Overlap and Competition

Barracuda Baits may review businesses that manufacture or sell products overlapping with Barracuda Baits or its existing partners on a case-by-case basis.

Approval of one Partner does not automatically create:

• Category exclusivity
• Geographic exclusivity
• Product exclusivity
• Market exclusivity

Any exclusive arrangement must be separately agreed to in writing.

12. No Guaranteed Results

Participation in the Collaboration Partner Network does not guarantee:

• Sales
• Revenue
• Leads
• Customers
• Website traffic
• Search rankings
• Social media growth
• Followers
• Engagement
• Impressions
• Referrals
• Business opportunities

Results may vary based on the collaboration, audience, market, content, timing, and other factors outside the control of Barracuda Baits.

13. Partner Conduct

Participants are expected to conduct themselves professionally when representing or collaborating with Barracuda Baits.

A Partner may not knowingly use the Collaboration Partner Network to:

• Make false or misleading claims
• Misrepresent its relationship with Barracuda Baits
• Engage in unlawful activity
• Infringe intellectual property rights
• Distribute fraudulent or deceptive content
• Harass or abuse customers, Partners, or Barracuda Baits representatives
• Damage or misuse Barracuda Baits branding
• Engage in conduct that materially conflicts with the purpose of the program

14. Suspension or Removal

Barracuda Baits may suspend, remove, or discontinue a collaboration when reasonably appropriate. Reasons may include:

• Inaccurate or misleading information
• Misuse of Barracuda Baits branding
• Unlawful activity
• Abusive conduct
• Failure to participate in an agreed collaboration
• Significant brand or reputation concerns
• Business closure
• Category conflicts
• Violation of these Terms
• A collaboration that is no longer mutually beneficial

Because participation is free, removal from the program does not create any refund or reimbursement obligation.

15. Ending a Collaboration

A Partner may request to leave the Collaboration Partner Network at any time by contacting Barracuda Baits.

After a collaboration ends, Barracuda Baits may remove the Partner's public listing, logos, links, and other promotional materials within a reasonable period.

Either party may discontinue future collaborative activity unless another written agreement states otherwise.

16. Third-Party Businesses

Businesses participating in the Collaboration Partner Network remain independent third parties. A listing, link, collaboration, or promotional activity does not constitute a guarantee, certification, or warranty by Barracuda Baits regarding a Partner's:

• Products
• Services
• Business practices
• Performance
• Safety
• Reliability

Customers should make their own purchasing and business decisions when dealing with third-party Partners.

17. Program Changes

Barracuda Baits may update the Collaboration Partner Network, including:

• Program structure
• Collaboration levels
• Benefits
• Eligibility requirements
• Application requirements
• Directory presentation
• Promotional opportunities
• These Terms & Conditions

Changes may be made as the program evolves. The current version of these Terms will be published on the Barracuda Baits website.

18. Limitation of Participation

Participation in the Collaboration Partner Network is voluntary. Neither Barracuda Baits nor a Partner is required to participate in a specific promotion, campaign, giveaway, event, or project unless the parties have agreed to that activity.

19. Governing Law

These Terms & Conditions are governed by the laws of the State of Texas, except where applicable law requires otherwise.
